EB Grand China delays circular on New Framework Agreements to 27 May 2026

Everbright Grand China Assets Limited (EB Grand China) announced a postponement in mailing its shareholder circular related to recently disclosed New Framework Agreements.

The circular—covering detailed terms of the agreements, proposed annual caps, an Independent Board Committee letter, an independent financial adviser’s opinion from Gram Capital, and the notice of the extraordinary general meeting—was originally scheduled for dispatch on or before 30 April 2026.

Management now expects the document to be sent on or before 27 May 2026, citing the need for additional time to finalise the required information and complete the Independent Board Committee’s letter to minority shareholders.

The board composition remains unchanged, with Chairman Liu Jia and Ma Heming serving as executive directors; Zhuang Minrong and Yin Junyan as non-executive directors; and Ho Kwai Ching Mark, Shek Lai Him Abraham, Lee Jor Hung and Wang Cheung Yue as independent non-executive directors.

The company reaffirmed that all other aspects of the announcement dated 31 March 2026 remain valid.
