Zhong Hua International Holdings Limited will convene its annual general meeting (AGM) at 11:00 a.m. on Friday, 26 June 2026, at 9/F, Henley Building, 5 Queen’s Road Central, Hong Kong.
Key resolutions to be tabled are as follows:
1. Financial Reporting • Receive and consider the audited financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.
2. Board and Auditor Matters • Authorise the board to fix directors’ remuneration. • Re-appoint Ernst & Young as external auditor and authorise the board to determine its fee.
3. Board Composition • Re-election of directors Ho Kam Hung and Tam Kong, Lawrence.
4. Share Capital Mandates • Grant a general mandate allowing the board to issue, allot and deal with additional shares representing up to 20% of the company’s issued share capital during the mandate period. • Grant authority to repurchase shares on the Hong Kong Stock Exchange or other recognised bourses, capped at 10% of the issued share capital. • Approve an extension that adds the nominal amount of shares repurchased under the 10% buyback mandate to the 20% issuance mandate.
5. Administrative Details • The “Relevant Period” for each mandate runs until the earlier of the next AGM, the statutory limit for holding the next AGM, or any revocation by shareholders. • The register of members will be closed from Tuesday, 23 June 2026 to Friday, 26 June 2026 (both days inclusive). Share transfer documents must be lodged with Tricor Investor Services Limited by 4:30 p.m. on Monday, 22 June 2026 to qualify for AGM attendance and voting rights.
Shareholders may appoint proxies; completed forms must reach Tricor Investor Services not less than 48 hours before the meeting. The notice also outlines contingency arrangements for severe weather or “extreme conditions” on the meeting date.
