北京汽车股份有限公司（股票代码：01958）于5月26日发布公告，拟向股东大会和类别股东大会申请一般性授权，以回购不超过公司已发行股本10%的股份。公司董事会认为，此举有助于提升股东回报和优化资本结构，符合公司及股东的整体利益。
根据公告，截至最后实际可行日期，公司总股本为8,015,338,182股，其中包含5,494,647,500股内资股和2,520,690,682股H股。若本次回购得到小股东批准并全面行使，最多可回购801,533,818股。其中，内资股提出的回购额度最高为549,464,750股，H股回购额度最高为252,069,068股，分别约占该类已发行股份的10%。
公司董事会表示，回购所需资金将来自公司依法可用于股份回购的内部资源（包括盈余储备和保留溢利等），并将严格遵守香港联合交易所有限公司证券上市规则及中国适用法律法规。此次回购旨在通过灵活运用股份购回来提升每股资产净值及/或每股收益，从而增强股东权益保障。
公司预期于2026年6月25日在北京顺义区召开股东大会及类别股东大会，就包括本次回购授权在内的多项议程进行审议和表决。公司将于6月22日至6月25日期间暂停办理股份过户事宜，以确定有权出席会议并投票的股东名单。董事会强调，该回购计划仍须获得股东大会及类别股东大会通过后方可实施。上述授权自会议批准之日起生效，并于下一年度股东大会结束时或股东另行作出变更授权的决议之日失效。
