The Executive of the Hong Kong Takeovers Panel has received a Rule 22 disclosure showing that Morgan Stanley & Co. International plc, a Class (5) associate of the offeror in the proposed privatisation of ENN Energy Holdings Limited, conducted hedging transactions in the target company’s shares on 29 May 2026.
Morgan Stanley bought 116,400 ENN Energy ordinary shares for a total consideration of USD 6.39 million, paying between USD 53.55 and USD 54.90 per share. On the same day, it sold 9,900 shares for USD 0.54 million, with prices ranging from USD 53.65 to USD 54.90 per share.
All trades were executed on Morgan Stanley’s own account to hedge Delta 1 products created from wholly unsolicited client-driven orders. After netting purchases and sales, the bank increased its position by 106,500 shares at a net cash outflow of USD 5.85 million.
The disclosure is part of ongoing reporting requirements tied to the scheme of arrangement aimed at taking ENN Energy private. Morgan Stanley is ultimately owned by Morgan Stanley.
