UBTECH Subsidiary Wuxi Youqi Enters New Framework Agreement with Tianqi Automation Engineering

UBTECH ROBOTICS (09880) has announced that on March 4, 2026, its subsidiary Wuxi Youqi signed a new framework agreement with Tianqi Automation Engineering. Under the agreement, the Wuxi Youqi Group will supply Tianqi Automation Engineering products and services to the Tianqi Automation Engineering Group during the period from March 4, 2026, to December 31, 2028.

On March 4, 2026, the company's board of directors resolved to propose that the company apply for bank credit facilities. This initiative is intended to ensure the continuity of the company's banking credit and to better support its business expansion. According to the requirements of the lending bank, the application for bank credit is subject to shareholder approval.

The estimated maximum purchase price payable by the Tianqi Automation Engineering Group for the products and services for each of the fiscal years ending December 31, 2026, 2027, and 2028, is expected not to exceed RMB 250 million, RMB 200 million, and RMB 150 million, respectively.

Given that Tianqi Automation Engineering Group is a well-known provider of intelligent equipment automation services, with expertise in automotive intelligent equipment and lithium battery recycling, and considering the significant revenue contribution from customers in the automotive and auto parts industries, the board believes that continued sales to and the maintenance of a business relationship with Tianqi Automation Engineering Group will facilitate the business development and enhance the reputation of the group.
