G.H.Y Culture & Media Holding reports shareholder approval of all AGM resolutions

G.H.Y Culture & Media Holding Co., Limited said that shareholders approved every item on the agenda at the company’s annual general meeting held on Apr, 29 2026. All 12 ordinary resolutions secured at least 98% of the votes cast.

The meeting endorsed the directors’ statement and audited financial statements for the year ended Dec, 31 2025, and declared a final tax-exempt dividend of 0.10 Singapore cents per share. Shareholders also backed the payment of S$0.30 million in directors’ fees for the financial year ending Dec, 31 2026.

Three directors—Yue Lina, Ang Chun Giap and Jiang Minghua—were re-elected. Ang Chun Giap continues as an independent director and chairman of the audit and risk management committee, while Jiang Minghua remains a member of both the audit and risk management and nominating committees.

Crowe Horwath First Trust LLP was re-appointed as external auditor, and directors were authorised to fix its remuneration. Investors further approved mandates allowing the board to issue new shares, grant awards under the GHY Performance Share Plan, issue options under the GHY Employee Share Option Scheme, renew the share purchase mandate and renew the shareholders’ general mandate for interested-person transactions.

Reliance 3P Advisory Pte. Ltd. acted as the meeting’s independent scrutineer.
