知行集团控股(01539)日前发布公告，董事会提请股东大会审议授予一般授权，公司可在香港联交所或其他认可的证券交易所回购不超过已发行股份（不包括库存股份）总数10%的股份。该回购授权若获批准，最高回购上限将为3,444,111,548股已发行股份（不包括库存股份）的10%，即最多可达344,411,154股。
公告显示，此次授权将在2026年9月18日召开的股东周年大会上审议，并在通过决议后于相关法律和上市规则的允许范围内生效。本次回购资金将来自公司合法自有资金或相关合法筹资安排，受开曼群岛法律和香港联交所上市规则规范。公司董事会认为，实施股份回购有助于改善公司每股股份价值，符合公司及股东的整体最佳利益。此外，公司也提议授予董事发行动用从库藏股份转售或配发新股份的一般授权。根据公告，公司将在必要时暂停办理由2026年9月11日至2026年9月18日的股份过户登记，以确定有权出席股东周年大会的股东资格。
