康诺亚生物医药科技有限公司（康诺亚-B，02162）公告称，董事会已建议赋予管理层一项一般授权，可在必要情况下于香港联交所回购不超过公司已发行股本10%的股份。根据公告，截至最后可行日期，公司已发行股份数为298,735,566股，如授权获通过，拟回购最多29,873,556股。
公司表示，回购所需资金将来自开曼群岛法律及上市规则允许的合法来源，本次计划旨在提高每股资产净值，巩固资本结构，有助于保障公司及股东整体利益。过去12个月，康诺亚-B股价最高为每股81.85港元，最低为34.15港元。董事会认为，此股份购回授权将有利于维护公司长期价值。
公告还显示，相关议案将于2026年6月26日召开的股东周年大会上审议表决。本公司同时提示，6月23日至6月26日将暂停办理股份过户登记，届时投资者需提前办妥相关手续。董事会强调，若获股东批准，将在审慎评估公司财务状况与市场情况后实施回购。
