药明巨诺（开曼）有限公司（药明巨诺-B，股票代码：02126）近日在公告中披露，董事会建议获得购回股份的一般授权，拟在股东大会通过相关决议后，于适用法律与香港联合交易所有限公司证券上市规则范围内，按不超过于决议案当日已发行股份（不包括任何库存股份）数量10%的上限回购公司股份。根据公告，于最后可行日期，药明巨诺-B已发行并缴足股数为416,729,433股，若在股东大会前无新增股份发行或回购，最高可回购的数量为约41,672,943股。
根据披露，购回资金将来自公司根据相关法规规定可合法用于回购的资金。公司亦可选择将回购股份以库存方式持有或注销，并将视市场环境及资金规划灵活执行。董事会认为，该项购回授权有望提升股东回报，并符合公司及股东的整体利益。
据公告显示，在过去12个月，药明巨诺-B于联交所的股价约在每股1.43港元至6.44港元之间波动。公司计划于2026年6月26日上午十时在中国上海浦东新区中科路699号B栋5层展示厅会议室召开股东周年大会，就包括购回股份的一般授权等若干议案进行审议。公司亦提示，香港中央证券登记有限公司将于2026年6月23日至6月26日期间暂停办理股份过户登记。届时，股东可在大会审议及批准后进行相关决议。董事会表示，若大会通过上述授权，将在确保不对公司资金运营及负债水平产生重大不利影响的情况下，择机实施适用的购回计划。
