Shenwan Hongyuan Group Co., Ltd. has issued an announcement regarding its corporate bond offering.

The company, referred to as the issuer, received registration from the China Securities Regulatory Commission on September 5, 2024, for a public issuance of corporate bonds with a total face value of up to RMB 10.2 billion, targeted at professional investors.

The first tranche of the 2026 bonds, intended for professional investors, has a total issuance scale not exceeding RMB 3.8 billion.

This bond issuance is divided into two series. Series 1 has a tenor of 3 years, while Series 2 has a tenor of 5 years.

The issuance includes an inter-series reallocation option with no restrictions on the reallocation ratio. Based on subscription levels for the total issuance, the issuer and the bookrunner may jointly decide to exercise this option. This would involve reducing the issuance scale of one series and increasing the scale of the other by the same amount, with the maximum scale reduction for any single series not exceeding 100% of its maximum issuable amount. The combined issuance scale for all series will not exceed RMB 3.8 billion.

On June 2, 2026, the issuer and lead underwriters conducted an offline inquiry for coupon rates with professional institutional investors.

The inquiry range for Series 1 was between 1.30% and 2.30%, and for Series 2, it was between 1.40% and 2.40%.

Based on the results of this offline inquiry, the final coupon rate for Series 1 has been set at 1.64%, and for Series 2 at 1.79%.
