BRETON (01333) Terminates Acquisition of 6.8281% Equity Interest in Xingmiao Optoelectronics

BRETON (01333) has issued an announcement regarding the connected transaction involving the company's acquisition of a 6.8281% equity interest in Shanghai Xingmiao Optoelectronics Technology Co., Ltd. (Xingmiao Optoelectronics).

As the company's overseas microgrid project investment and development has entered the construction phase, resource investment demand at this stage is relatively concentrated. Following careful assessment and comprehensive consideration, the company has decided to prioritize its existing resources toward the overseas microgrid project to ensure the smooth advancement of its core strategic direction.

Meanwhile, as wide-body mining trucks remain primarily self-developed, the company has temporarily suspended its equity investment in the upstream sensor technology sector for wide-body mining trucks.

Through friendly negotiation, the parties to the equity transfer agreement entered into a "Termination Agreement of the Equity Transfer Agreement" on September 29, 2026. All parties have agreed to terminate the equity transfer agreement and release and discharge each other from their respective obligations and responsibilities under the equity transfer agreement, effective from the date of the termination agreement.

The board of directors of the company believes that the termination of this acquisition will not have a material adverse impact on the company's existing business, operations, or financial condition.
