Graphex Group Terminates U.S. ADS Programme, Citing Limited Volume and Hong Kong Liquidity

Graphex Group Limited has initiated the voluntary termination of its sponsored American Depositary Shares (ADS) programme in the United States. The ADSs—trading under the symbol “GRFXY” on the OTC Expert Market and each representing 20 ordinary shares—will be delisted on 14 July 2026 at 5:00 p.m. U.S. Eastern Time, the formal Termination Date set by depositary The Bank of New York Mellon.

• Timeline and process: The Company instructed the Depositary on 10 April 2026 to end the deposit agreement. A termination notice was disseminated on 16 April 2026, triggering a minimum 90-day period before the 14 July 2026 termination. Until that date, ADS holders may convert their ADSs into ordinary shares listed on The Stock Exchange of Hong Kong Limited (HKSE). Afterward, any remaining ADSs will be sold by the Depositary, with net proceeds distributed to holders in line with the agreement.

• Background of the ADS programme: Graphex launched its ADSs in October 2020 on the OTCQX market. In August 2022, the Company completed a public offering of 5.40 million ADSs and subsequently traded on NYSE American LLC. Following a 5-for-1 share consolidation on 26 March 2025, NYSE American suspended ADS trading on 15 May 2025 and delisted the securities on 23 May 2025. The ADSs then moved to the OTC Expert Market.

• Reasons for termination: Management cited the small proportion of ordinary shares represented by ADSs, relatively low ADS trading volume versus Hong Kong turnover, and confidence that the Hong Kong listing can meet future fundraising and global investor access needs.

Post-termination positioning

Graphex Group will maintain its ordinary-share listing on the HKSE (stock code 06128) and will continue to publish material English-language disclosures on its website. The Board emphasised its commitment to protecting investor interests throughout the transition.
