2026年9月8日，宁德时代新能源科技股份有限公司（股票代码：03750）发布公告称，公司董事会于同日召开第四届董事会第十九次会议，通过《关于注销部分已授予尚未行权的股票期权的议案》。根据公司2022年股票期权与限制性股票激励计划（简称“2022年激励计划”）相关规定，合计208,019份已授予但尚未行权的股票期权被注销。 公告显示，注销的股票期权主要涉及两类情形： 1. 2名激励对象因离职不满足行权条件，需注销31,252份股票期权； 2. 1名激励对象在第三个行权期（2025年9月22日至2026年9月7日）内未行权，需注销176,767份股票期权。 公司指出，本次注销不需提交股东大会审议，对公司的财务状况、经营成果及管理团队稳定性不构成实质性影响，也不影响激励计划的继续实施。后续，公司将按照深圳证券交易所及中国证券登记结算有限责任公司深圳分公司的相关规定，完成股票期权注销手续。 董事会薪酬与考核委员会及上海市通力律师事务所均认为，此次注销符合《上市公司股权激励管理办法》以及公司《2022年股票期权与限制性股票激励计划（草案）》的相关规定，程序合法合规。
