Goldstone Capital Sets 13 Aug 2026 AGM; Eyes Director Re-elections, Auditor Renewal and 20% Issuance Mandate

Goldstone Capital Group Limited will convene its annual general meeting (AGM) on 13 August 2026 at 11:00 a.m. in Central, Hong Kong. Shareholders will vote on six ordinary resolutions:

1. FY26 Results Adoption • Approval of the audited financial statements and the reports of directors and Crowe (HK) CPA Limited for the financial year ended 31 March 2026.

2. Board Composition • Re-election of three non-executive directors—Mr Jin Qingjun, Mr Lam King and Ms An Ran. • Re-election of two independent non-executive directors—Ms Wan Yuk Ling and Ms Xiao Ruimei. • Authorisation for the board to set director remuneration.

3. Auditor Continuity • Re-appointment of Crowe (HK) CPA Limited as external auditor, with fees to be determined by the board.

4. Share Issuance Capacity • General mandate permitting the board to allot, issue or deal with shares— including any sale or transfer of treasury shares—up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM.

5. Share Buy-back Authority • Authorisation for the company to repurchase up to 10% of its issued shares (excluding treasury shares) as at the AGM date.

6. Mandate Extension • Permission to extend the 20% issuance mandate by the number of shares repurchased under the 10% buy-back authority.

Shareholders may appoint proxies by submitting completed forms to Union Registrars Limited no later than 48 hours before the meeting. Attendance in person is allowed even after lodging a proxy, which will then be deemed revoked.
