7Road Holdings Limited (7ROAD) has disclosed a forthcoming change in its corporate secretarial team and obtained a new compliance waiver from The Stock Exchange of Hong Kong Limited (HKEX).
Effective 31 August 2026, Mr. Cheng Ching Kit will resign as Joint Company Secretary, Authorised Representative under Listing Rule 3.05, and Process Agent under Part 16 of the Hong Kong Companies Ordinance. Mr. Cheng confirmed that he has no disagreement with the board and is unaware of any matters needing shareholder or HKEX attention.
On the same date, Ms. Au Wing Han will assume the roles vacated by Mr. Cheng, becoming Joint Company Secretary, Authorised Representative, and Process Agent. Ms. Au is a manager at SWCS Corporate Services Group (Hong Kong) Limited with more than 10 years of corporate secretarial experience. She is an associate member of both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK). Mr. Yang Cheng—currently Executive Director, Vice President, Chief Financial Officer, and Joint Company Secretary—will continue in his secretarial position alongside Ms. Au.
Given Mr. Cheng’s departure, the original HKEX waiver permitting Mr. Yang to serve as Joint Company Secretary until 25 January 2028—subject to assistance from a qualified counterpart—could no longer be met. Consequently, HKEX granted a replacement waiver effective from 31 August 2026 to 25 January 2028. The new waiver requires:
1. Mr. Yang to be assisted by Ms. Au throughout the waiver period; and 2. Automatic revocation if the company commits any material breach of the Listing Rules.
Before the waiver’s expiry, 7ROAD must demonstrate that Mr. Yang has acquired sufficient experience to discharge company secretarial duties independently, eliminating the need for further waivers.
The board expressed appreciation to Mr. Cheng for his service and welcomed Ms. Au to her new roles.
