Hengfu Holdings (00643) has resumed trading with a decline of over 32%, currently down by 32.81% to HKD 0.43, with a trading volume of HKD 5.41 million. According to reports, the seller, Ma Xiaoqiu, plans to sell approximately 411 million shares to the joint offeror, Zephyrus Capital Limited, and Zeng Junhao, representing about 45.71% of the company’s total issued share capital, for a total consideration of HKD 54 million. As required, a mandatory cash offer must be proposed for all issued shares, with an offer price of HKD 0.1331 per share, reflecting a discount of about 79.2% compared to the last trading price of HKD 0.64 prior to suspension. The joint offeror intends to maintain the listing status of the shares on the Hong Kong Stock Exchange after the offer deadline.
