Grand Brilliance Group Sets 11 September 2026 AGM; Seeks 20% Issuance and 10% Buy-Back Mandates

Grand Brilliance Group Holdings Limited will hold its annual general meeting on 11 September 2026 at 10:00 a.m. in Units 2901–2903 and 2905, 29/F, The Octagon, 6 Sha Tsui Road, Tsuen Wan, Hong Kong. Shareholders will vote on six ordinary resolutions covering routine corporate matters and capital management authorities.

Key agenda items include: • Adoption of the audited consolidated financial statements for the year ended 31 March 2026 and receipt of the directors’ and auditor’s reports. • Re-appointment of BDO Limited as auditor, with fees to be set by the board. • Re-election of Ms. Wong Bik Kwan Bikie (executive director) and Mr. Chow Ming Po Aaron (independent non-executive director), and authorisation for the board to determine directors’ remuneration for the year ending 31 March 2027.

Capital-related mandates up for approval are: 1. A general mandate allowing the board to allot, issue or deal with shares—plus to sell or transfer any treasury shares—up to 20% of the total issued share capital (excluding treasury shares) as at the date of the meeting. 2. Authority to repurchase up to 10% of the issued shares (excluding treasury shares) on GEM or other recognised exchanges. 3. An extension that increases the 20% issuance limit by the number of shares actually repurchased under the 10% buy-back mandate, subject to a maximum additional 10%.

Shareholders registered by Tuesday, 8 September 2026 are entitled to attend and vote. The register of members will be closed from 8 September to 11 September 2026 (both days inclusive). Transfers must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 7 September 2026. Proxy forms must reach the registrar by 10:00 a.m. on 9 September 2026.
