重庆钢铁股份有限公司于2026年2月9日就向特定对象发行A股及清洗豁免相关事宜发布更新公告，并对该项目的进程与要求作出进一步说明。
根据公告，公司先前已向香港相关监管机构申请延迟寄发有关发行事宜的通函，原定最后寄发日期由2026年1月9日延长至2026年2月27日，并获执行人员同意。公司目前正落实通函内容，包括财务资料及独立财务顾问意见，预计将在2026年2月27日或之前向股东寄发。
公告显示，向特定对象发行A股需在多项条件达成后方可进行，其中包括独立股东于临时股东大会上表决批准该发行方案。如相关审批未通过，发行或无法继续。此外，公司就清洗豁免向执行人员提出申请，若获批准亦须经临时股东大会至少75%票数支持后方可作实。
公司强调，若清洗豁免不获批准且华宝投资仍决定继续发行A股，则可能触发要约收购，但要约仅会在A股发行完成后作出，因此发行及要约皆存在不确定性。公司提醒股东及潜在投资者审慎对待股份买卖，并在有疑问时咨询专业顾问。
公司董事会表示，将继续按照上市规则及相关监管规定就最新进展另行发布公告。
