SMC Electric Moves to Update Corporate Charter Ahead of 2026 AGM

SMC Electric Limited has announced plans to adopt a third amended and restated memorandum and articles of association (New M&A), replacing the current version in its entirety.

The Board proposes the overhaul to: • Align with the latest Hong Kong Listing Rules, including the new treasury-share and expanded paperless-listing regimes. • Introduce provisions for the forthcoming uncertificated-securities market framework. • Streamline procedures for holding hybrid or fully virtual shareholder meetings and other corporate administrative matters. • Update references to relevant Cayman Islands legislation and regulatory requirements.

Shareholders will vote on the special resolution to approve the New M&A at the company’s annual general meeting scheduled for Thursday, 11 June 2026. If passed, the New M&A will become effective immediately after the AGM.

A circular detailing the proposed amendments and the AGM notice will be dispatched in due course.

As of the announcement date (26 March 2026), the Board comprises three executive directors (Leung Chun Wah, Tang Che Yin, Chow Kai Chiu David), two non-executive directors (Yung Kwok Kee Billy, Li Pik Mui Cindy), and three independent non-executive directors (Leung Man Chiu Lawrence, Poon Chak Sang Plato, Ho Chi Sing Spencer).
