TCL Electronics Calls 9 Oct 2026 EGM to Approve HK$5.44 Billion Share-financed Acquisition and New Supply Framework

TCL Electronics Holdings Limited has issued a notice convening an Extraordinary General Meeting (EGM) for 2:00 p.m. on 9 October 2026 at Hong Kong Science Park, Shatin.

Key matters to be decided:

1. Acquisition funded by share issuance • The board seeks shareholder approval for a Sale and Purchase Agreement signed on 15 July 2026 to acquire 100% of an unnamed target company. • Consideration: 362.86 million new shares to be allotted at HK$15.00 each, implying a transaction value of HK$5.44 billion. • Directors also request a Specific Mandate to issue the Consideration Shares and authority to execute related documents.

2. Supply Framework Agreement • Shareholders will vote on a new framework governing supplies between TCL Electronics and specified counterparties. • The proposal includes annual caps covering the three months ending 31 December 2026 and the full year ending 31 December 2027, as detailed in the company’s circular dated 24 August 2026. • Directors seek a mandate to handle all actions and documentation necessary to implement the agreement.

Administrative details • Shareholders recorded by 4:30 p.m. on 5 October 2026 are entitled to attend and vote. • Proxy forms must be submitted to Tricor Investor Services Limited at least 48 hours before the meeting.

The board is chaired by Ms. Du Juan and comprises four executive and three independent non-executive directors.
