HG Metal Manufacturing Limited clears all nine resolutions at Jan, 23 2026 AGM

HG Metal Manufacturing Limited convened its annual general meeting on Jan, 23 2026 at 28 Jalan Buroh, Singapore, with Independent Non-Executive Chairman Ong Hwee Li presiding. A quorum was present and all nine resolutions were put to a poll in line with Singapore Exchange rules.

The meeting adopted the directors’ statement and audited financial statements for the financial period ended Sep, 30 2025. Shareholders also approved a final tax-exempt dividend of 1.5 Singapore cents per ordinary share.

Mr Ong Hwee Li and Executive Director-Chief Executive Officer Xiao Xia were re-elected to the board. Directors’ fees of up to 0.224 million Singapore dollars for the financial year ending Sep, 30 2026 will be paid quarterly in arrears. Ernst & Young LLP was reappointed as external auditor.

Shareholders renewed the general mandate allowing the board to issue new shares or convertible securities representing up to 50% of the company’s issued share capital, with a sub-limit of 20% for placements not made on a pro-rata basis. A share purchase mandate authorising buy-backs of up to 3% of issued shares and an interested person transactions mandate were also renewed.

All resolutions received at least 99.94% support, with the highest vote count at 199.1 million shares in favour.

During the question-and-answer session, management said the planned 15-20 million Singapore dollars equipment investment for the Tuas View Circuit site is separate from the property purchase, and the targeted annual capacity of 180,000 metric tons could be reached within three to five years depending on demand. The company has earmarked part of its approximately 70 million Singapore dollars cash resources for expansion while considering partial financing for the Tuas property. Management also highlighted a 18 million Malaysian ringgit stake in Eden Flame Sdn. Bhd. as part of wider upstream and downstream growth initiatives.

The meeting was adjourned at 3:45 p.m. after the poll results were announced.
