联想控股27.17亿元转让东航物流11.29%股权予中国物流资本

卖方：联想控股买方：中国物流资本（中国物流集团全资子公司）标的：东航物流11.29%股份（179,254,133股）

2026年4月8日盘后，联想控股与中国物流资本签署股份转让协议。联想控股将以每股15.156元的价格，现金方式出售所持东航物流11.29%股份，总对价27.17亿元。交易完成后，联想控股不再持有东航物流股权。

对价分两笔支付： 1) 标的股份完成过户后2个工作日内，买方先行支付85%转让价款，即23.09亿元； 2) 联想控股提名或委派的董事辞职生效后2个工作日内，再支付余下15%，约4.08亿元。双方约定，如东航物流期间实施现金分红或送股等事项，将按上交所规则对股份数量及价格进行相应调整。

根据公告，联想控股预计此次交易可带来约2.97亿元的税前收益，对比的账面价值约为24.20亿元。所得款项拟用于日常运营及／或偿债，提高公司流动性和财务稳健度。

东航物流为国内领先的航空物流服务商，2025年度在中国企业会计准则下实现税前利润40.86亿元、净利润30.88亿元，年末净资产220.23亿元；2024年度税前、净利润分别为39.36亿元和30.64亿元，年末净资产193.86亿元。

香港联交所上市规则认定，本次交易因适用百分比率超过5%但低于25%，构成须予披露交易，免于股东大会批准，仅需履行公告及申报义务。
