美的集团股份有限公司（00300）7月14日公告，公司第九期股权激励计划第三个行权期的行权条件已全部成就，自2026年7月14日起至2027年6月7日止，2,025名激励对象可行使合计28,849,231份股票期权。
本期行权价格为41.44元/股，期权代码为037254，简称“MDJLC10”。行权股票将以向激励对象定向增发方式取得，行权比例为各激励对象获授期权总量的40%。
若全部行权，公司股本将增加28,849,231股，股东权益相应增加11.96亿元，不会导致股权分布不符合上市条件。募集资金将全部存入广东顺德农村商业银行股份有限公司北窖支行的专用账户（账号：801101000669402040），用于补充流动资金。
本次行权涉及的主要人员结构为：研发人员725人，制造人员328人，品质人员118人，其他业务骨干853人；公司职工代表董事张添本期可行权9,000份。
