Fantasia Holdings Seeks One-Month Extension for Offshore Debt Restructuring Longstop Date

Fantasia Holdings Group Co., Limited (Fantasia) has asked Scheme Creditors to approve a one-month extension of the longstop date tied to its offshore debt restructuring.

The current longstop date is 31 May 2026. Fantasia proposes moving this to 30 June 2026 to ensure sufficient time to secure all remaining regulatory approvals required for completion of the restructuring. Without the extension, the existing schemes of arrangement would automatically lapse on 31 May 2026.

Approval Mechanism • The extension must be backed by Majority Scheme Creditors, defined as creditors holding more than 75% of claims in value who submit votes by the deadline. • Voting instructions must be lodged by 10:00 p.m. Hong Kong time on 28 May 2026 (09:00 a.m. Cayman Islands time), unless Fantasia elects to extend the cut-off within its sole discretion.

Rationale Fantasia considers the extension “necessary to prevent the Schemes from automatically terminating” and to facilitate completion of the restructuring process. Management expressed gratitude for creditor support and reiterated its commitment to delivering the transaction.

Next Steps Fantasia will issue additional announcements as required under Hong Kong listing rules and applicable regulations to update investors on the voting outcome and overall restructuring progress.
