Broncus Holding Corporation (BRONCUS-B) has formally terminated its previously announced share transfer agreement after signing a Termination Agreement on 20 September 2026.
The cancelled transaction involved Broncus China Holding Corporation, a wholly owned subsidiary of Broncus Holding, and Max Grand Limited. Under the new terms, Max Grand Limited will refund the initial deposit of US$5.51 million—paid by Broncus China—within five business days from the effective date of termination.
The Board stated that all parties have mutually released each other from any past, present, or future obligations arising from the original share transfer agreement, and no further claims will be pursued except those stipulated in the Termination Agreement itself.
Management does not anticipate any material adverse impact on the group’s operations or financial position as a result of the cancellation.
The decision follows earlier disclosures on 22 March, 14 April, 30 June and 31 August 2026, which detailed the proposed acquisition and subsequent delays in despatching a circular to shareholders.
