西井控股（香港）有限公司（“要约人”）与象兴国际控股有限公司（“象兴国际控股”，股份代号：1732）日前联合宣布，自愿现金部分要约于2026年2月20日（最后截止日期）下午4时正式截止。该要约在所有方面已成为无条件。
截至最后截止时间，合计接获约3.7828亿股股份的有效接纳，占截至本公告日期已发行股份的约29.55%。由于接纳总数超过原拟收购的3.712亿股，按比例计算后，各名接纳股东约有98.13%的已提呈股份可被承购。要约人将根据部分要约承购合共3.712亿股要约股份，并在最后截止日期后7个营业日内完成代价结算。
公告显示，部分要约完成后，象兴国际控股的公众持股比例约为40.70%，仍符合上市规则所要求的最低25%公众持股量。此外，要约人及其一致行动人士合计持有公司约59.30%的股权，其中要约人持股29.00%，而原主要股东荣兴创投有限公司（由公司执行董事全资拥有）所持股份降至约30.30%。公告重申，此次部分要约不会导致上市地位改变，建议股东继续审慎进行股份买卖。公司后续将就支付要约价及剩余碎股对盘安排另行公告。
