Yeebo (International Holdings) Limited will convene its 2026 annual general meeting (AGM) on 24 August 2026 at 11:00 a.m. in Hong Kong. Key resolutions to be tabled include capital management mandates, board refreshment, dividend approval and auditor renewal.
Capital mandates • Repurchase authority: Directors seek approval to buy back up to 93.36 million shares, representing 10% of Yeebo’s 933.57 million issued shares (excluding treasury stock) as at 24 July 2026. • Issuance authority: A separate mandate would permit the board to issue, allot or transfer up to 186.71 million new shares—20% of current issued capital—and to extend this limit by the amount of any shares repurchased under the buy-back mandate. Both mandates will run until the next AGM or earlier revocation.
Dividend proposal Shareholders will vote on a final dividend of HK 5.0 cents per share for the year ended 31 March 2026.
Board changes • Executive Director Leung Tze Kuen will retire and not seek re-election. • Newly appointed CEO Ms Fan Shengyan (age 52) stands for election as Executive Director; her three-year contract carries fixed annual remuneration of HK$3.60 million and 8 million share options. • Independent Non-executive Director Mr Allan Chu (age 74) seeks re-election after over 25 years on the board. The nomination committee affirmed his continued independence; annual fee: HK$0.30 million.
Auditor re-appointment The board proposes re-appointing Deloitte Touche Tohmatsu for the FY 2026/27 audit, with fees estimated between HK$2.90 million and HK$4.10 million, subject to shareholders’ approval.
Ownership and regulatory considerations Major shareholder Antrix Investment Limited holds 570 million shares (61.06%). If the full 10% repurchase mandate is exercised, its stake would rise to approximately 67.84%, while public float would remain above the 25% threshold required by the Hong Kong Stock Exchange.
