利华控股集团（01346）公告称，董事会已提呈一般授权，允许公司于股东周年大会通过相关决议后，在下一届股东周年大会结束或法定期限届满前，于公开市场购回最多相当于公司已发行股本10%的股份。公司目前已发行股本约6.391亿股，若上述授权获批，则回购总量最高可达约6391万股。
根据公告，回购所需资金将来自可合法动用的公司资源，并符合开曼群岛适用法律及香港上市规则的规定。董事会表示，此次回购有助于增强股东价值，并认为符合公司及股东的整体最佳利益。回购执行期间，公司最高及最低成交价方面，过去一年股份于联交所的最高价曾达1.69港元（2025年9月），最低价为0.99港元（2025年4月）。
公司同时公告，股东周年大会初步定于2026年4月9日召开，届时将就上述回购计划进行审议并表决。董事会强调，在行使回购授权时，会综合考虑公司财务状况及公众持股比例，以确保公司运营和股东权益保持稳健。有关股东登记及会议议程等细节，均以公告刊载的日期及安排为准。
