Shanghai Dazhong Public Utilities (Group) Co., Ltd. announced revised terms of reference for its Nomination Committee, approved at the 13th meeting of the 12th session of its Board of Directors on October 30, 2025. The revised framework is intended to enhance Board oversight on the selection of directors and senior executives and improve the company’s governance structure.
The updated guidelines specify that the Nomination Committee shall comprise three directors, with a majority being independent non-executive directors and at least one director of a different gender. The committee is responsible for examining the qualifications of director and senior executive candidates, reviewing independence criteria for independent non-executive directors, and evaluating the structure, size, and diversity of the Board. The newly revised procedures also underline the importance of performance appraisals and possible replacements of directors or senior executives based on these assessments.
The Nomination Committee is authorized to propose candidate recommendations and relevant materials to the Board and to engage professional advice from intermediaries when needed, at the company’s expense. A diversity policy has been formalized, emphasizing factors such as gender, age, cultural and educational background, professional experience, and skills.
According to the announcement, the revised terms will take effect upon Board approval, and the company will provide necessary support for the Nomination Committee’s duties, including day-to-day liaison, meeting organization, and maintaining proper documentation. The move is aligned with the Listing Rules and other regulatory standards to ensure transparent and effective corporate governance.
