沿海绿色家园有限公司（简称“沿海家园”）5月21日公告称，公司获卖方告知，卖方与要约人就可能交易进行的磋商已终止，截至公告日期，双方未就可能交易订立任何正式或具有法律约束力的协议，因此可能交易及要约将不再继续。
公告指出，此前公司曾于2025年10月至2026年5月期间多次发布公告，内容涉及卖方与要约人拟就销售153,126,197股股份订立买卖协议及销售贷款，以及要约人的可能强制性有条件现金要约。
根据收购守则，沿海家园的要约期已于5月21日结束。按照收购守则规则31.1(b)，除非获得执行人员同意，否则要约人、在可能交易过程中与其一致行动的任何人士，或其后与要约人一致行动的任何人士，均不得于公告日期起6个月内公布针对公司的要约或可能要约（包括可能导致要约人持有公司30%或以上投票权股份的部分要约），或收购公司的任何投票权（倘因此须根据收购守则规则26提出要约）。
