2026年8月4日，国恩科技（02768）在香港交易所发布海外监管公告，披露已完成回购股份注销及股份变动事宜。
本次注销的A股股份数量为6,250,000股，占注销前公司总股本的1.41%，对应回购金额130,271,978.81元。注销生效日为2026年7月31日。
完成注销后，公司总股本由442,850,000股减至436,600,000股。其中，A股股份减少至392,200,000股，占比89.83%；H股保持44,400,000股，占比10.17%。有限售条件流通股维持139,941,733股，占总股本32.05%；无限售条件流通股降至252,258,267股，占57.78%。
股权结构方面，持股5%以上股东及其一致行动人（不含香港中央结算有限公司）的合计持股数保持226,440,000股，占比由51.13%升至51.86%。其中，董事长王爱国持股比例由42.11%升至42.71%。
公司表示，本次股份回购注销不会影响其债务履行能力、持续经营能力、股东权益及上市地位。后续公司将按规定办理注册资本及公司章程等工商变更手续。
