中国动向（03818）10月20日公告，董事会确认此前通函所列与和解事项相关的全部条件已获达成，交易已于2026年10月20日完成，并将着手办理回购股份注销手续。
交易完成及回购股份注销后，公司已发行股本由完成前的5,895,073,025股降至5,638,983,000股。
在股权结构方面：
1. 陈氏家族集团持股数量保持不变，为2,571,529,472股，但持股比例由43.62%升至45.60%。
• 其中，陈先生通过Poseidon持有2,359,936,000股，占41.85%；
• 陈女士通过Bountiful持有199,498,730股，占3.54%；
• 陈义勇先生直接及间接持有12,094,742股，占0.21%。
2. 原为“卖方”股东的持股大幅下降：
• 张先生的持股由166,120,025股（占2.82%）减至30,000股（占0.00%）；
• 陈韶文先生、南鹏先生、王亚磊先生、吕先生、孙薇女士及扬纲先生的股份全部归零。
• 卖方合计持股比例由4.34%降至0.00%。
3. 其他股东持股数量维持在3,067,423,528股，但因总股本减少，持股比例由52.04%上升至54.40%。
公司表示，已根据此前11日发布的通函及30日股东特别大会的决议，完成全部相关手续。董事会并重申对公告内容的准确性负责。
