法拉帝股份有限公司（09638.HK）3月13日公布，已向股东寄发针对KKCG Maritime提出的自愿附带条件部分公开收购要约的回应文件。该要约拟收购最多52,132,861股法拉帝股份，相当于公司已发行股本的15.4%。\n\n独立财务顾问浩德融资有限公司（Altus Capital Limited）在意见书中指出，综合考虑要约条款及代价后，认为该要约整体“不具吸引力，且不公平及不合理”，建议独立股东不予接纳。\n\n公司独立董事委员会认同独立财务顾问结论，同样建议独立股东拒绝要约。董事会（Piero Ferrari及Alberto Galassi已回避表决，Stefano Domenicali未出席相关会议）亦一致认为，要约代价不符合独立股东利益，因而建议股东不予接受。\n\n公司提醒股东仔细阅读回应文件内的独立董事委员会函件（第57至59页）及独立财务顾问函件（第60至104页），并在采取任何行动前咨询专业顾问。
