泸州银行（01983）7月22日公告，与泸州老窖物业服务有限公司于同日签订《物业服务协议》，继续就总行业务用楼提供一体化物业服务。协议期限自2026年7月24日至2027年7月23日，年度物业服务费最高限额（含税）为人民币8,980,000元，折合月度上限748,333.34元。
根据协议，泸州银行按月支付服务费，并按照100分制对服务质量进行考核；考核得分低于90分将触发1%至20%不等的费用扣减。若连续3个月得分低于80分，银行有权终止协议并追究违约责任。
公告称，2025年7月24日至本公告日期期间，现有协议项下累计交易金额为人民币8,887,264.92元。本次交易根据《香港联合交易所有限公司证券上市规则》第14A章界定为持续关连交易，相关百分比率高于0.1%但低于5%，须履行申报、公告及年度审核义务，豁免独立股东批准。
泸州银行表示，协议定价综合考虑楼宇位置、服务范围、运营成本及市场报价，并通过公开招标确定。独立非执行董事及核数师将对交易条款及上限进行年度审核。
