VIRTUAL MIND (01520) Plans to Establish a Joint Venture in Saudi Arabia to Expand Industrial IP Business

VIRTUAL MIND (01520) announced that on January 20, 2026, the company entered into an investment cooperation agreement with Mr. Sami Abdullah AlShammary. Pursuant to the investment agreement, the company intends to establish a limited liability company (the Joint Venture) with Mr. Sami in the Kingdom of Saudi Arabia. This move aims to expand its business operations within the Kingdom's industrial IP sector, primarily operating under the relevant framework of the Saudi Ministry of Industry. The scope includes Smart Manufacturing and Super Complex (SMSC) and Robot-As-A-Service (RAAS) (the Business). According to the terms of the investment agreement, the contracting parties shall cooperate in applying for an MISA investment license and other approvals necessary for the Business's operation. The registered capital of the Joint Venture is set at USD 1 million. The company will contribute USD 900,000, representing a 90% equity stake in the Joint Venture, while Mr. Sami will contribute USD 100,000 for a 10% stake. The Group has been actively seeking opportunities to expand its existing business and possesses extensive expertise in AI and Web3 technologies. This expertise is leveraged to build an intelligent new consumption ecosystem spanning sports, culture and tourism, entertainment, and other sectors. The Board of Directors believes that the establishment of the Joint Venture will enable the Group to further expand its business operations in the industrial IP field and generate returns for the company's shareholders.
