Future Data Group to Hold 27 May 2026 AGM; Seeks 10% Share Buy-Back and 20% Issuance Mandates

Future Data Group Limited will convene its Annual General Meeting (AGM) on 27 May 2026 at 11:00 a.m. in Room 1703, 17/F, Office Tower, Convention Plaza, Wan Chai, Hong Kong. Key proposals focus on financial statement adoption, board composition, auditor re-appointment and refreshed capital mandates.

Financial Statements • Shareholders will vote on the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and independent auditor’s reports.

Board Composition and Remuneration • Re-election of two executive directors—Ms. Tuen Hei Ching and Mr. Bai Yicong. • Re-election of two independent non-executive directors—Mr. Lam Chi Cheung Albert and Dr. Liu Xiao. • Authorisation for the board to determine directors’ remuneration.

Auditor Re-appointment • Prism Hong Kong Limited is nominated for re-appointment as auditor, with the board authorised to set its remuneration.

Capital Management Mandates • Share Repurchase: A general mandate allowing the company to repurchase up to 10% of its issued share capital (excluding any treasury shares) during the period ending at the next AGM or its earlier statutory deadline. • Share Issuance: A separate mandate permits the board to allot and issue shares—or transfer treasury shares—up to 20% of issued capital, with customary exclusions for rights issues, employee share schemes and scrip dividends. • Extension: Subject to approval of both mandates above, the issuance limit may be increased by the amount of shares repurchased, effectively adding up to another 10% of issued capital.

Meeting Logistics • All resolutions will be decided by poll, with results published on the HKEX and company websites. • Shareholders may appoint multiple individual proxies. • The register of members will be closed from 21 May 2026 to 27 May 2026 (both days inclusive). Share transfers for voting eligibility must be lodged by 4:30 p.m. on 20 May 2026.
