LIANLIAN to Replace PwC with Deloitte as External Auditor; Fee Estimated at RMB3.00–RMB4.00 Million

Lianlian DigiTech Co., Ltd. (LIANLIAN) plans to appoint Deloitte Touche Tohmatsu as its new external auditor for the 2026 financial year, ending a nine-year engagement with PricewaterhouseCoopers (PwC).

The proposal will be put to shareholders at the Annual General Meeting scheduled for 5 June 2026. PwC will retire upon conclusion of that meeting and will not seek re-appointment. According to the Board and Audit Committee, the rotation aligns with corporate governance best practices aimed at preserving auditor independence and objectivity. LIANLIAN intends to reassess auditor rotation every three to five years going forward.

Key financial terms: • Estimated audit fee for Deloitte: RMB3.00 million to RMB4.00 million, determined after arm’s-length negotiations and reflecting the Group’s scale, business complexity, and audit scope.

Assessment highlights by the Audit Committee: 1. Audit Fees: Competitive pricing within the stated range. 2. Experience & Competence: Proven track record in auditing Hong Kong-listed companies, supported by qualified engagement partners and robust internal quality controls. 3. Independence: Deloitte confirmed compliance with all applicable independence and professional ethics requirements. 4. Resource Capability: Adequate team size and timetable to meet the Group’s audit needs.

The Board confirmed no disagreements or unresolved matters with PwC regarding the change. Subject to shareholder approval, Deloitte’s term will run from the AGM date until the conclusion of the next annual general meeting.

The company will issue a circular with full details of the proposed appointment and AGM arrangements in due course.
