KWOON CHUNG BUS (00306) Subsidiary and Affiliate Plan to Sell 85.3% Stake in Li County Bipenggou Tourism Development Co., Ltd.

KWOON CHUNG BUS (00306) announced that on December 5, 2025, its indirect wholly-owned subsidiary, Kwoon Chung (Chongqing) Tourism Development Co., Ltd. (Seller 1), and its indirect affiliate, Chengdu Western Tourism Investment Holdings (Group) Co., Ltd. (Seller 2), entered into a non-binding letter of intent for a potential equity transaction with Aba Da Jiuzhai Tourism Group Co., Ltd. (Buyer 1) and Chengdu New Tianfu Cultural Tourism Development Co., Ltd. (Buyer 2) regarding the sale of shares in Li County Bipenggou Tourism Development Co., Ltd. (the "Target Company").

According to the letter of intent, the sellers intend to sell an 85.3% stake in the Target Company, which primarily operates tourism-related businesses in the Bipenggou scenic area. If the potential sale is completed, the Group could unlock the investment value of its non-core operations in mainland China, allowing it to focus on developing its core business in Hong Kong and allocating resources to areas with higher growth potential.

The Group will continue to actively optimize its assets and operations to enhance its overall competitiveness in Hong Kong's transportation industry and create greater value for shareholders. The Board believes the terms of the letter of intent are fair and reasonable, and the potential transaction aligns with the interests of the Company and its shareholders.
