国泰海通证券股份有限公司（02611）8月11日晚间公告称，公司已完成47,786,169股A股回购股份的注销，占注销前公司总股本的0.2711%。注销完成后，公司总股本由17,628,844,117股减至17,581,057,948股，注销日为2026年8月12日。
回溯来看，原海通证券分别于2023年及2024年通过集中竞价方式回购A股41,507,467股和35,567,000股，合计77,074,467股。2025年3月14日，国泰君安证券股份有限公司换股吸收合并海通证券后，上述回购股份按1:0.62比例转换为47,786,169股库藏A股，全部用于本次注销。
董事会及股东大会已于2026年4月24日和6月26日审议通过，将该部分库藏A股的用途由“维护公司价值及股东权益”变更为“用于注销并减少公司注册资本”。公司于6月27日完成债权人通知程序，期间无债权人申报债权。
本次注销后，公司A股无限售条件流通股由13,496,910,193股减至13,449,124,024股；回购专用证券账户中的库存A股由115,303,000股降至67,516,831股。A股整体占比由80.11%微降至80.06%，H股维持3,505,759,848股，占比19.94%。
公司表示，本次注销不会对财务状况和经营成果产生重大影响，不影响上市地位。后续公司将按规定办理市场主体变更登记及相关备案手续，并持续履行信息披露义务。
