枫叶教育（01317）7月28日公告称，公司获悉香港联合交易所有限公司于2026年7月28日就力高健康生活有限公司（2370）及其两名董事发出纪律行动声明，原因涉及该公司附属公司在2022年3月至2023年6月期间的部分资金流及交易处理问题，导致力高健康生活延迟刊发年度业绩，其股份自2023年3月29日起暂停买卖。公告指出，上述纪律制裁及指令仅针对被点名的两名董事及力高健康生活本身，不适用于其他现任或前任董事，包括同时担任枫叶教育独立非执行董事的周明笙。
枫叶教育董事会表示，相关纪律声明不会影响周明笙履行独立非执行董事职责的能力与适任性。除公告所披露事项外，周明笙确认并无其他信息需按上市规则第13.51B(2)条披露，亦未知悉其他需要提请股东注意的事项。
