百勤油田服务有限公司(下称“百勤油田”)于2026年2月13日与惠州农村商业银行股份有限公司(下称“惠州农商银行”)就联营公司百勤能源科技(广东)股份有限公司(下称“百勤能源”)的一笔人民币63,000,000元银行循环贷款签署新担保协议。公告显示，此举旨在对若干现有银行贷款进行再融资，原担保所对应的贷款已于2月12日悉数结清并解除。

根据公告，百勤油田的间接全资附属公司百勤石油(深圳)有限公司(下称“百勤深圳”)按其于百勤能源约28.56%的股权比例提供担保，最高负债敞口约人民币17,993,000元。同期，百勤能源其他股东及关联方也分别就剩余部分提供担保。为抵押该笔贷款，百勤能源的全资附属公司百勤石油技术(惠州)有限公司抵押了市值约人民币75,959,000元的土地及楼宇权益。百勤深圳还将按照未偿还本金的一定费率收取担保费。

该交易因适用百分比率超过5%但低于25%，在香港联合交易所有限公司证券上市规则第14章下被界定为“须予披露交易”，需遵守通知及公告规定。同时，由于担保条款按一般商业条款订立、且各方按股权比例分别承担，依据上市规则第14A.89条获得全面豁免需遵守关连交易的相关规定。
