Auto Italia Holdings released its unaudited 1H 2026 results, showing a marked turnaround with profit attributable to shareholders of HK$138.06 million versus HK$10.10 million a year earlier. The swing was driven mainly by a HK$169.06 million unrealised fair-value gain on contingent consideration receivables linked to the 2024 acquisition of Hudson Holding Limited.

Group revenue rose 41.0% year-on-year to HK$27.07 million. Property Investment contributed HK$14.75 million (+11.4%), while the Car Division nearly doubled sales to HK$12.33 million (+105.8%) on deeper penetration in Europe and expansion into Africa and South America. Gross profit expanded 37.1% to HK$14.26 million, though blended margin eased to 52.7% (1H 2025: 54.1%) as the lower-margin car business gained share.

Operating expenses climbed 6.2% to HK$18.57 million, reflecting higher freight and parts costs. Finance costs increased 21.9% to HK$20.97 million, mainly from effective interest on newly issued HK$98.00 million 3.0% convertible bonds and imputed interest on promissory notes.

Cash and cash equivalents (including pledged deposits) rose to HK$58.27 million at 30 June 2026 (31 Dec 2025: HK$14.17 million). Net operating cash outflow was HK$2.89 million; investing activities generated HK$56.42 million, largely from disposals of FVTPL assets. Net cash used in financing amounted to HK$5.64 million after HK$21.68 million in debt repayments offset by a HK$14.36 million share placement.

Total debt—comprising other borrowings, shareholder and related-party loans, promissory notes and convertible bonds—fell to HK$471.60 million (31 Dec 2025: HK$502.60 million). Coupled with a 94.8% increase in total equity to HK$368.03 million, the debt-to-equity ratio improved to 128.2% (31 Dec 2025: 266.1%).

Segment review: • Property Investment: 1H 2026 rental income reached HK$14.75 million. Scotland’s Capella office tower is 86% let, generating GBP3.0 million annual rent with a 3.26-year WALE. Fair-value gain on investment properties was HK$0.60 million.

• Car Division: Revenue surged to HK$12.33 million, supported by expanding electric-vehicle (EV) exports and new market entries. The division focuses on European fleet contracts, emerging-market channel build-outs, and integrated “solar-storage-charging” solutions.

• Financial Investments & Services: No lending revenue was booked; the Group maintained a cautious stance amid market volatility.

Capital management actions included: issuance of HK$98.00 million in convertible bonds (equity component: HK$31.44 million), full settlement of a HK$53.50 million promissory note via conversion, and completion of a HK$15.00 million share placement at HK$0.30 per share.

At period-end, pledged bank deposits and properties totaling HK$466.20 million secured borrowings. Capital commitments stood at HK$6.21 million, earmarked for EV equipment. No interim dividend was declared.

Management reiterated a prudent strategy focused on cost control, selective expansion in South America, Africa, and China, and deeper penetration into European key accounts to sustain growth while mitigating macro-economic and geopolitical risks.
