Guangzhou Xiao Noodles Catering Management Co., Ltd. (XIAO NOODLES) submitted a Next Day Disclosure Return to the Hong Kong Stock Exchange on 23 September 2026, detailing its latest share capital movements and buyback activity.

1. Issued Share Capital • Outstanding H shares stood unchanged at 710.69 million as of 23 September 2026. • No new shares were issued and no treasury shares were sold during the period under review.

2. Ongoing Share Repurchase Programme • On 23 September 2026, the company repurchased 98,000 H shares on the Exchange at HKD 4.10–4.21 per share, spending HKD 0.41 million. • Cumulative repurchases awaiting cancellation now total 21.51 million H shares, equal to approximately 3.03 % of the current issued share base. • The repurchase prices recorded since February range between HKD 3.06 and HKD 4.30 per share.

3. Utilisation of Repurchase Mandates • Under a general mandate granted on 26 January 2026, 17.32 million H shares were bought back between 3 February and 24 June 2026. • A subsequent mandate authorised on 25 June 2026 permits buybacks of up to 71.07 million H shares (10 % of issued share capital at that date). To date, 4.19 million shares, or 0.59 % of the mandate limit, have been repurchased under this approval, leaving capacity for a further 66.88 million shares. • In accordance with Hong Kong listing rules, XIAO NOODLES is subject to a moratorium on issuing new shares or disposing of treasury shares until 23 October 2026.

4. Capital Structure Implications Despite the active buyback schedule, the company’s total issued share count remains at 710.69 million because the repurchased shares have not yet been cancelled. Once cancellation is effected, the share base will contract by 3.03 %, potentially enhancing earnings per share and other per-share metrics.

5. Liquidity Impact The latest single-day repurchase represented 0.01 % of outstanding shares, indicating a measured approach to market intervention. Aggregate cash outflow for the 23 September transaction was HKD 0.41 million.

XIAO NOODLES affirmed that all repurchases complied with Hong Kong Stock Exchange regulations and that no material changes have occurred to the parameters outlined in its April 27 Explanatory Statement.
