Raffles Education issues 1.50 million new shares on bond conversion at S$0.065 each

Raffles Education Limited (SGX: NR7) has converted S$97,600 in principal amount of its outstanding convertible bonds into equity, issuing 1,501,537 new ordinary shares at a fixed conversion price of S$0.065 per share.

The new shares were allotted on February 9, 2026, lifting the group’s issued share capital to 1,538,629,875 ordinary shares from 1,537,128,338 previously. Concurrently, the principal amount of convertible bonds outstanding fell to S$38.88 million from S$38.98 million.

The conversion shares, which rank pari passu with existing stock, will be admitted to the Singapore Exchange Mainboard and begin trading at 9:00 a.m. on February 12, 2026.

The conversion stems from the terms set out in the Convertible Bonds Trust Deed dated August 30, 2022, under which bondholders may exchange their securities for equity at the predetermined price of S$0.065 per share.
