Pico Far East reshuffles board: Crichton retires, Pon appointed as Independent Director and committee member

Pico Far East Holdings Limited announced a leadership transition effective at the close of its Annual General Meeting on 27 March 2026.

1. Director Retirement • Independent Non-Executive Director (INED) Gregory Robert Scott Crichton retired by rotation and did not seek re-election. • His departure also ends his roles as Chairman of the Remuneration Committee and member of the Audit Committee. • Crichton confirmed no disagreements with the Board and no matters requiring shareholder attention.

2. New INED Appointment • Phillip Pon, aged 50, was appointed INED, joining the Audit, Remuneration and Nomination Committees. • Pon is CEO of EMURGO Group Pte. Ltd. and has held senior positions at BC Technology Group, Artifact Labs, McKinsey & Company and other multinational firms. • Key terms: two-year appointment beginning 27 March 2026; either party may terminate with three months’ written notice; annual director fee set at HK$246,500. • The Board confirmed Pon meets Hong Kong Listing Rule 3.13 independence criteria.

3. Committee Re-composition • James Patrick Cunningham becomes Chairman of the Remuneration Committee. • Pon assumes membership on the Audit, Remuneration and Nomination Committees, filling the vacancies created by Crichton’s retirement.

The Board expressed gratitude to Crichton for his contributions and welcomed Pon to his new roles. All changes took effect immediately after the AGM.
