Cosmo Lady to Seek Approval for HK1.6-Cent Dividend, Share Mandates and Scheme Amendments at 29 May 2026 AGM

Cosmo Lady (China) Holdings Company Limited will convene its annual general meeting on 29 May 2026 at 11:00 a.m. in Dongguan, Guangdong. Shareholders will review the audited consolidated financial statements for the year ended 31 December 2025 and consider ten ordinary resolutions.

Key items on the agenda include:

• Dividend Proposal: A final dividend of HK1.6 cents per share for FY 2025.

• Board Composition: Re-election of retiring directors Mr. Zheng Yaonan, Mr. Lin Zonghong and Dr. Lu Hong Te, with the board authorised to set director remuneration.

• Auditor Appointment: Re-appointment of Ernst & Young, with the board empowered to determine its fees.

• Capital Authorities: – Issuance mandate permitting the board to allot and deal with new shares up to 20% of the company’s issued share capital as at the meeting date. – Buy-back mandate authorising the repurchase of up to 10% of issued shares.

• Incentive Plan Updates: Proposed amendments to the Share Option Scheme and Share Award Scheme, together with a Service Provider Sublimit governing the total number of shares that may be granted to external service providers under all equity-based plans.

Shareholders wishing to vote by proxy must submit completed forms to Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting. Attendance in person remains permissible even after a proxy form is lodged.
