Integrated Waste Solutions Group Holdings Limited (the Company) announced a change of auditor, following a decision by the board of directors (the Board). According to the announcement, KPMG resigned effective 31 October 2025 after serving the Company for over 12 years. The primary reason cited was the lack of consensus on audit fees for the financial year ending 31 March 2026.
The Board and the audit committee (Audit Committee) noted that periodically refreshing the auditor can bring in new perspectives and better maintain independence. The announcement also highlighted more competitive fee proposals received from alternative firms. The Company expressed gratitude to KPMG for its past services and confirmed that KPMG had not commenced any audit work on the consolidated financial statements for the financial year ending 31 March 2026.
Upon the recommendation of the Audit Committee, Crowe (HK) CPA Limited (Crowe) has been appointed the new auditor, effective from 31 October 2025, until the conclusion of the next annual general meeting. The appointment was based on factors including experience, industry knowledge, technical competence, independence, resources, and proposed fees. The announcement indicates that the Board and the Audit Committee regard this change as beneficial to the Company and its shareholders.
