Sichuan Expressway: Shareholders Pass Directors & Senior Management Remuneration Plan with 99.95% Approval

On 29 June 2026, Sichuan Expressway Company Limited held its Extraordinary General Meeting (EGM) in Chengdu, where shareholders decisively endorsed the new Remuneration Management System for directors and senior management.

Key meeting statistics • Total share capital: 3.06 billion shares. • Attendance: 138 shareholders and proxies representing 1.81 billion shares, equating to 59.32% of voting rights. – A-share participation: 1.73 billion shares (56.69%). – H-share participation: 80.58 million shares (2.64%).

Voting outcome The sole ordinary resolution—approval of the Remuneration Management System—received 1.81 billion votes in favour (99.95%), with 0.28 million votes against (0.02%) and 0.64 million abstentions (0.04%). Exceeding the 50% threshold, the motion was duly passed.

Compliance and verification Computershare Hong Kong Investor Services acted as H-share registrar and appointed legal counsel from Beijing Zhong Yin (Chengdu) to scrutinise the poll. The law firm confirmed that all convening, voting and procedural aspects complied with the PRC Company Law, relevant regulations and the company’s Articles of Association, rendering the results lawful and valid.

Board representation The meeting was chaired by Chairman Luo Zuyi and attended in person by all directors, the board secretary, senior management and legal advisers.
