Moon Inc. (1723) Announces Connected Transaction for Further Subscription of Fund Interest

Moon Inc. (1723) approved a further subscription in a fund on 17 November 2025. The subscription involves the company’s wholly owned subsidiary, Moon Investment Korea Limited (the Subscriber), acquiring an additional 4.22% interest in the fund for US$1,754,667.22 (approximately HK$13,686,000). Following completion, the Subscriber’s total stake in the fund will increase to around 7.20%.

The Manager of the fund (Sora Ventures) directly wholly owns a substantial shareholder of Moon Inc. (Sora Valkyrie). Therefore, the transaction constitutes a connected transaction under the Listing Rules, and the combined percentage ratio from this subscription and a previous subscription has surpassed 0.1% but remains below 5%. As a result, it is subject to reporting and announcement requirements but exempt from circular and independent shareholder approval.

According to publicly available information, the fund is structured as a limited liability entity focused on investments in Bitplanet Inc. Bitplanet is primarily engaged in integrated security software and information technology solutions. Moon Inc. reiterates its objective of leveraging this strategic investment to potentially gain operational synergies, particularly in South Korea’s fintech market, which could support the company’s ongoing expansion of pre-paid products in Asia.
