五菱汽车集团控股有限公司（00305.HK）8月1日公告称，公司于2026年7月31日召开之股东特别大会已审议并通过《关于2026年至2028年智能物流产品框架协议项下持续关连交易的普通决议案》。该决议案以按股数投票表决方式获得独立股东100.00%赞成票（3.66亿股），零反对票，通过比例超过50%，正式获批。
根据公告，截至股东特别大会当日，公司已发行股份总数为32.98亿股。作为关连股东，广西汽车及其联席人士合共持有18.65亿股，占比56.54%，并已按上市规则放弃就该决议案投票。其余1.43亿股股份持有人获准出席并投票。最终，共有3.66亿股股份参与表决，全部投赞成票。
董事会主席兼执行董事袁智军，执行董事朱凤艳、宋伟，非执行董事李正，以及独立非执行董事叶翔、徐劲力、刘介明均亲身或线上出席了会议。
上述决议的通过，意味着公司已获授权在2026年至2028年期间，根据智能物流产品框架协议开展相关销售（零部件）及采购（成品）等持续关连交易，并可由董事会授权代表公司办理相关事宜。
